WILLOWMORE TERMS OF SERVICE

Thank you for choosing Willowmore. These Terms of Service (“Terms”) govern your access to and use of our website, mobile applications, devices, software, and related services (“Services”). By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy.

 

Please read these Terms carefully before using any Willowmore Services.

1. Overview

Willowmore Pte. Ltd. and its subsidiaries (“Willowmore”, “we”, “us”, or “our”) provide digital smart access solutions via:

• Our website at https://www.willowmore.com.sg/ 

• Our mobile applications (“Applications”)

• Cloud dashboards, APIs, and other digital platforms

• Smart devices and hardware you purchase from us or our authorized partners (“Devices”)

The Services include, but are not limited to, device connectivity, access management, data storage, notifications, analytics, and support.

By clicking “I Agree,” creating an account, or using the Services, you confirm that:

• You accept these Terms on your own behalf or on behalf of an entity you represent

• You are legally capable of entering into a binding agreement

• You agree to comply with all applicable laws and regulations

If you do not agree, you must discontinue use immediately.

2. Your Privacy

Your use of the Services is also governed by the Willowmore Privacy Policy, which is incorporated into these Terms by reference. Please review it carefully to understand how we collect, use, and protect your personal data.

3. Registration & Account Security

To access certain features, you must create a Willowmore account.

You agree to:

• Provide accurate, complete, and up-to-date registration information

• Maintain the confidentiality of your login credentials

• Use strong passwords and keep your account secure

• Notify us immediately of any unauthorized access or security breach

You are responsible for all activities conducted using your account, whether authorized or not.

We reserve the right to suspend or terminate accounts that violate these Terms or pose risk to the Services.

4. License to Use the Services

Willowmore grants you a limited, non-exclusive, non-transferable, non-sublicensable license to:

1. Access and use the Services for managing and operating your Devices;

2. Install and use the Application(s) on your compatible mobile devices.

This license is subject to:

• Continued compliance with these Terms

• Only lawful and authorized use

• Use for your own legitimate purposes (not resale, redistribution, or exploitation)

5. Updates to the Services

We may periodically provide updates, enhancements, bug fixes, firmware upgrades, or improvements (“Updates”). Some Updates may install automatically. By using the Services, you consent to receive such Updates.

If you decline or disable Updates, certain features may not function properly.

6. Content & Intellectual Property

a. Willowmore Content

All text, graphics, data, logos, software, videos, and other materials (“Content”) within the Services are owned by Willowmore or its licensors.

You may not:

• Modify, copy, publish, distribute, or create derivative works

• Reverse-engineer, decompile, or extract source code

• Frame, mirror, or scrape any portion of the Services

• Use Willowmore trademarks without written consent

b. User-Generated Content

You are responsible for any content you upload or submit (“User Content”) and warrant that:

• You own the rights to such content

• Your content does not infringe any third-party rights

You grant Willowmore a worldwide, royalty-free license to use such content for operating and improving the Services.

7. Guest Users

You may grant access to others (“Guests”).
Guests acknowledge that:

• The Device owner/controller may view their access history

• Access may be revoked at any time

• Their usage data may be shared with Willowmore and authorized partners

Invite only trusted individuals, as you are responsible for Guest access.

8. Third-Party Integrations & Services

The Services may interface with third-party websites, apps, devices, or platforms (“Other Services”).

By using such integrations, you agree that:

• Willowmore may exchange information with such Other Services

• Their terms and privacy policies govern your use of their platforms

• Willowmore is not responsible for the availability, functionality, security, or content of Other Services

Use of third-party integrations is at your sole risk.

 

9. Your Obligations & Acceptable Use

You agree NOT to:

• Violate any laws or regulations

• Use the Services for unlawful or harmful purposes

• Interfere with system integrity, security, or performance

• Attempt to hack, breach, reverse-engineer, or bypass security measures

• Upload harmful, defamatory, fraudulent, or infringing content

• Impersonate another person

• Send spam or unauthorized communications

• Collect personal data of other users without consent

We reserve the right to investigate and take action, including suspending or terminating accounts, reporting to authorities, or removing prohibited content.

10. System Requirements

The Services require:

• A functioning device (e.g., supported smartphone or tablet)

• A stable internet, Wi-Fi, Bluetooth, or data connection (depending on Device requirements)

• A valid Willowmore account

• Periodic updates to software and firmware

Failure to meet system requirements may affect performance. Willowmore is not responsible for issues caused by incompatible, outdated, or improperly configured equipment or networks.

11. Feedback

If you provide feedback, suggestions, or ideas, you grant Willowmore an unrestricted, royalty-free license to use them without obligation or compensation.

12. Service Changes, Suspension & Termination

We may modify, suspend, or discontinue the Services at any time.
We may terminate your access if you:

• Breach these Terms

• Misuse the Services

• Create security or operational risks

• Engage in unlawful activity

Upon termination, your license to use the Services ends immediately.

13. Limitations & Disclaimers

Service Availability

The Services may be affected by:

• Internet/Wi-Fi downtime

• Mobile data issues

• Third-party service failures

• Power outages

• Environmental or technical limitations

Willowmore is not responsible for such interruptions.

Not an Emergency System

Devices and Services are not designed for emergency notification or life-safety purposes.

Warranty Disclaimer

The Services are provided “as is” and “as available”, without warranties of any kind.

This includes implied warranties of:

• Merchantability

• Fitness for a particular purpose

• Non-infringement

• Accuracy or reliability

You use the Services at your own risk.

Limitation of Liability

To the fullest extent permitted by law:

• Willowmore is not liable for indirect, incidental, special, consequential, or exemplary damages

• Willowmore’s total liability is limited to the amount you paid for the Services in the six (6) months prior to the claim

• Claims must be filed within one (1) year of arising

14. Indemnification

You agree to indemnify and hold Willowmore harmless against claims, liabilities, losses, or expenses arising out of:

• Your use of the Services

• Your violation of these Terms

• Your User Content

• Your negligence or misconduct

• Use of your account by others (authorized or unauthorized)

These obligations survive termination.

15. Modifications to These Terms

We may update these Terms periodically.
Material changes will be communicated through:

• Emails,

• In-app messages, or

• Posted updates within the Services.

Continued use constitutes acceptance of updated Terms.

16. Ownership

All Devices, software, applications, content, and intellectual property are owned or licensed by Willowmore.
All rights not expressly granted are reserved.

17. Miscellaneous

• Entire Agreement: These Terms form the entire agreement.

• Severability: Invalid provisions will be modified to remain enforceable.

• No Waiver: Failure to enforce is not a waiver of rights.

• No Agency: These Terms do not create partnerships or joint ventures.

• Assignment: You may not assign these Terms; Willowmore may assign without restriction.
